On August 8, 2006, the Ministry of Commerce ("MOC"), joined by the State-owned Assets Supervision and Administration Commission of the State Council, State Administration of Taxation, State Administration for Industry and Commerce, China Securities Regulatory Commission ("CSRC"), State Administration of Foreign Exchange (SAFE), amended and released the Provisions for Merger and Acquisition of Domestic Enterprises by Foreign Investors (the "M&A Provisions"). The M&A Provisions, which take effect September 8, 2006, supersede the existing M&A regulation that was in place since April 2003. The M&A Provisions represent an important step in the further development of China's regulation of the foreign acquisition of China-based companies, and it will have significant impact on foreign investment activities in China for a long time to come.The seminar will provide an in-depth analysis of the M&A Provisions, the possible impact and implications on venture capital investment in China. We are much honored to have invited experts from leading law firms, investment banking houses and venture capital management companies to share their insights. Some of the speakers participated in the discussions of the M&A Provisions with Ministry of Commence ("MOC") prior to its release. 


The seminar will cover:

Basic framework of new approval and registration regime for acquisition of domestic firms by foreign investors;

Impact on offshore-onshore restructurings in China in connection with offshore private equity and venture capital financings, mergers & acquisitions, and IPOs;

Key requirements and elements for cross-border non-cash transactions; and the possible implications; and
