CVCA Business Roundtable Seminar: Structuring Issues in PIPE and Take-Private Transactions

Casting a glance at China's 2009 capital market, PIPE investment performed superbly in 2009. PIPE is now becoming a considerable element of PE investment. However, PIPE investment has unique challenges, in terms of deal negotiation, transaction execution, securities regulations, and listing rules.

To meet the VC/PE communities' demand of PIPE knowledge, CVCA had Mr. Greg Liu, the partner at Paul-Weiss, as the guest speaker at our most recent roundtable, to deliver a lecture on PIPE and take-private transactions. As a serious minded practitioner, Mr. Greg Liu has worked on a variety of cross-border M&A transactions in the Greater China region, with a focus on private equity transactions. At the seminar, Mr. Greg Liu shared his rich experience on PIPE and take-private transactions, as well elaborated on key structuring issues of take-private transactions with insightful case analysis, including the basic framework, the arrangement scheme, and the acquisition program, etc. Greg Liu’s lecture was enlightening and useful, and well-received by the capacity crowd at the seminar.
