Taking private and minority investments seminar (Hong Kong)

CVCA and Weil, Gotshal & Manges (“Weil”) co-organized a seminar focusing on “Taking Private and Minority Investment” which reflected the popular trends of investment area in Hong Kong on July 18, 2012. The seminar successfully attracted more than 80 participants including professionals in the venture capital and private equity industry.

Panelist - Akiko Mikumo, Asia Managing Partner of Weil, together with William Hay, General Counsel of Baring Private Equity Asia, and Mark Schwille, Managing Director of Morgan Stanley Investment Bank, shared their observations and insights on the current situation, recent developments and interesting trends on taking listed companies private in the US.


First part of the seminar had covered the going private illustrative structure, going private transaction process, how conflicts are managed in the process of taking a listed company private in the US; the role of special committees / independent committees; differences between taking private US listed companies domiciled in the US and in Cayman Islands; as well as financing available for a take private transaction.


Second part of the seminar primarily covered minority investment in HK and PRC listed companies. The panel discussion was led by Weil partners Henry Ong and Steve Xiang, and other panelists included William Hay and Mark Schwille. The discussion touched on the recent trends in this area; PIPEs and strategic alliances, partnering with strategic players and key factors to bear in mind from a regulatory perspective, and the challenges on governance and investor protection.
